الملخص
لقد بدأنا هذا البحث بمقدمة، بينا فيها الظروف التي أدت إلى ظهور كل من الشركة القابضة والشركة المتعددة الجنسيات. ثم قسمنا البحث إلى مبحثين، عالجنا في المبحث الأول طبيعة العلاقة القانونية بين الشركة القابضة، والشركات التابعة لها، حيث تمَّ في هذا المبحث التعريف بالشركة القابضة، وتمييزها عما قد يختلط بها من مفاهيم (فرع أول) ومسؤولية هذه الشركة الناتجة عن هذه السيطرة (فرع ثانٍ). أما المبحث الثاني فقد خصص لطبيعة العلاقة القانونية بين الشركة المتعددة الجنسيات والشركات التابعة لها، حيث بينا من المطلب الأول من هذا المبحث الأساليب القانونية المتبعة في تكوين الشركات المتعددة الجنسيات، وخصصنا المطلب الثاني لبيان مسؤولية الشركة المتعددة الجنسيات عن ديون الشركات الوليدة، ثم انهينا هذا البحث بخلاصة تتضمن النتائج التي توصل إليها الباحث.
Abstract
We started this research by a preface showing the circumstances in which the holding company and the multinationa companies emerge to existence. We divided this research in two divisions. The first division is devoted for the nature of the legal relation between the holding company and the subsidiary company. In this division we define the term of the holding company and show the difference between this term and other terms which may mix with it (first branch), in the (second branch) we illnstrate the responsibility of the holding company. In the second division, we shed light upon the nature of the legal relation between the multinational company and the subsidiary companies. In this division we talk about the manners used for the establishment of the multinational company (first branch), and the liability of the multinational company about the debts of the subsidiary companies. Finally-the researcher conclusion with the study results and recommendations.
